Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the GridX websites and products, including ClearRing, GridX Dispatcher, GridX SCM, and GridX ERP (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date. You must be authorised to act on behalf of any business you register.

Acceptable Use

• Do not use the Services for any unlawful, fraudulent, or abusive purpose.
• Do not attempt to disrupt, reverse engineer, or gain unauthorised access to the Services.
• Do not upload content that infringes the rights of others or violates applicable law.

Subscriptions & Billing

Paid plans are billed on a recurring basis according to the plan you select. Fees are exclusive of taxes unless stated otherwise. Free trials, where offered, convert to paid plans unless cancelled before the trial ends. Except where required by law, payments are non-refundable.

Compliance Features

Certain Services include regulatory features (such as FBR Digital Invoice submission in ClearRing or WTD and DVSA compliance tooling in GridX Dispatcher). These features are provided to assist your compliance, but you remain responsible for meeting your own legal and regulatory obligations.

Your Data

You retain ownership of the data you submit to the Services. You grant GridX the limited rights necessary to operate and provide the Services. Our handling of personal data is described in our Privacy Policy.

Service Availability

We aim for high availability and maintain cloud infrastructure on Microsoft Azure, but the Services are provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue features with reasonable notice where practical.

Limitation of Liability

To the maximum extent permitted by law, GridX is not liable for indirect, incidental, or consequential damages, or for any loss of profits, data, or business arising from your use of the Services.

Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or use the Services in a way that risks harm to GridX, other customers, or third parties.

Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
